Vacancies on the AGCAS Board of Directors

Are you interested in the strategic management of AGCAS? We're seeking motivated and enthusiastic volunteers to join the AGCAS Board of Directors to get involved in making key decisions about the organisation's future development for the benefit of its members, staff and key stakeholders. This is an exciting time to be part of an executive team with a renewed vision and focus.

The AGCAS Board plays a central role in providing strategic leadership, policy direction and the vision required to ensure that AGCAS meets its core aims and the needs of its members and stakeholders. As a professional body, a company, a charity and an employer, AGCAS needs to be represented at the highest level by a diverse group of committed individuals.

Nominations are invited from Full Members of AGCAS for the three positions below. All positions are for a term of three years (1 December 2014 - 1 December 2017). The roles bring specific responsibilities, but also confer significant benefits on both individuals and their services as a result of the professional development on offer, together with many opportunities to liaise with a wide range of members and stakeholders. The emphasis of all Board positions is focused on strategic input. Board members attend quarterly meetings and contribute to the strategic direction of AGCAS by contributing opinions and expertise. The roles are not intended to be onerous and recent changes reflect a conscious effort to move the AGCAS Board away from operational matters.

1. Vice-President

The AGCAS Vice-President is a Director of AGCAS the Company, a Trustee of AGCAS the Charity and a Company Law Member. The Vice-President normally has a specific portfolio of responsibility as part of the role, depending on the postholder's areas of specialism. In broad terms, however, the role includes:

• deputising for the AGCAS President as necessary;
• policymaking (playing a key role in strategic planning and development);
• developing external relations.

2. Company Secretary

The emphasis of this role, as with all Board positions, is focused on strategic input. However, the role of the AGCAS Company Secretary also involves a number of administrative, legal and statutory responsibilities, which are outlined in the document below. A full induction will be given, however, and there is plenty of support available both from experienced AGCAS senior staff and from existing members of the AGCAS Board. This role will particularly appeal to someone who has an eye for detail, is well-organised and can communicate clearly and concisely. In addition, the role calls for good interpersonal skills and the ability to manage time effectively and to work to deadlines.

3. Company Law Member 

The role of a Company Law Member is to ensure that AGCAS Directors are working towards the objectives of the company, to receive the annual report and accounts at the AGM, and to approve the auditors. Company Law Members are the only members who can vote at an AGCAS AGM (this can be done by proxy). They also receive copies of the minutes of AGCAS Board meetings. Prospective Company Law Members may like to know that their liability, in the event of the company being wound up, is limited to one pound.

A Nomination Form is available below. The closing date for all positions is Monday 24 November 2014. Forms should be completed and returned by email to Sue Spence. Candidates will also need to complete and return a Charity Trustee Declaration Form, also available below. Please note that for the Company Law Member vacancies, both the proposer and seconder must be members of Plenary Committee, ie a head of service.
